General Terms and Conditions for Trainings
Last updated: October 2026
§ 1 Scope and customers
(1) These General Terms and Conditions (GTC) apply to all contracts for trainings, workshops, coachings and team packages (hereinafter "trainings") between imb24 GmbH, Gassebrehe 49, 49170 Hagen a.T.W., Germany (hereinafter "imb24") and its customers.
(2) Our offers are directed exclusively at businesses within the meaning of Section 14 of the German Civil Code (§ 14 BGB), legal entities under public law and special funds under public law located in Germany or another member state of the European Union. We do not conclude contracts with consumers within the meaning of Section 13 BGB; consequently there is no consumer right of withdrawal. By booking, the customer confirms that it acts in the exercise of its commercial or independent professional activity. Companies located outside the European Union cannot book via the website.
(3) Deviating, conflicting or supplementary terms of the customer do not become part of the contract, even if imb24 does not expressly object to them.
§ 2 Conclusion of contract
(1) The presentation of trainings and dates on the website is not a binding offer. By submitting the booking form the customer makes a binding offer for the selected number of seats. The contract is concluded with our booking confirmation by e-mail. If the customer chooses payment via Stripe, the booking confirmation requires the payment process to have been completed successfully.
(2) Where imb24 offers interfaces for software agents (e.g. AI assistants), reservations created by such a system on behalf of the customer are non-binding. An offer by the customer only exists once a person acting for the customer confirms the reservation via the link sent by e-mail, selects the payment method and accepts these GTC. Unconfirmed reservations expire after 24 hours.
(3) For in-house trainings and team packages imb24 prepares an individual offer. The contract is concluded upon acceptance of that offer in text form.
(4) The contract language is German or English. The booking data is stored by imb24 and sent to the customer with the confirmation by e-mail; these GTC are available on the website at any time.
§ 3 Services
(1) Content, scope, format (on-site or online), location and date result from the course description at the time of booking or from the individual offer.
(2) imb24 may replace the trainer with an equally qualified person and slightly adjust the schedule if this does not impair the purpose of the training.
(3) Online trainings take place live via a video conferencing system. The customer ensures that participants have a suitable computer, a stable internet connection, camera and microphone and – where stated in the course description – the required software access (e.g. own licenses for AI tools).
§ 4 Prices and payment
(1) All prices are net prices in euros plus statutory VAT where applicable.
(2) For customers located in Germany we charge German VAT (currently 19%).
(3) Customers located in another member state of the European Union must provide a valid VAT identification number, which imb24 verifies via the European Commission's VIES system. For online trainings and in-house trainings at the customer's premises the reverse charge procedure then applies: the invoice is issued without German VAT and with the note "Steuerschuldnerschaft des Leistungsempfängers / reverse charge"; the customer owes the VAT in its member state. For on-site trainings in Germany we also charge these customers German VAT (currently 19%), as the place of supply is in Germany. If the number is invalid or cannot be confirmed, booking via the website is not possible; the customer may then contact info@imb24.com.
(4) For payment via our payment service provider Stripe, the payment methods offered during checkout (e.g. card or SEPA direct debit) are available; the amount is due upon booking. For purchase on invoice, the invoice amount is payable without deduction within 14 days after booking, but no later than before the start of the training.
(5) If the customer is in default of payment, the statutory provisions apply, in particular Section 288(2) and (5) BGB. imb24 may refuse participation as long as due amounts remain unpaid.
§ 5 Cancellation by the customer
(1) The customer may cancel booked seats in text form, e.g. by e-mail to info@imb24.com. The day on which imb24 receives the cancellation is decisive; calendar days are counted up to the first day of the training (German time).
(2) The following fees apply to cancellations, each based on the agreed net price of the cancelled seats and each plus statutory VAT where applicable:
- up to and including 14 calendar days before the start of the training: free of charge,
- 13 to 4 calendar days before the start of the training: 50%,
- 3 calendar days or less before the start of the training (including the training day) or no-show: 100%.
Example: if the training starts on 20 November, cancellation is free of charge up to and including 6 November, 50% applies from 7 to 16 November and 100% from 17 November.
(3) The customer may prove that imb24 incurred no damage or significantly lower damage.
(4) The customer may name a substitute participant at no additional cost until the start of the training.
(5) For in-house trainings and team packages the cancellation rules of the individual offer apply; in the absence of such rules, paragraphs 1 to 4 apply accordingly.
§ 6 Cancellation by imb24
(1) Open dates are subject to the minimum number of participants stated for the date (usually 3 persons). If it is not reached, imb24 may cancel the date no later than 10 calendar days before the start.
(2) imb24 may also cancel a date if it cannot be held for reasons for which imb24 is not responsible (e.g. illness of the trainer without an available substitute, force majeure). In that case imb24 informs the customer without delay.
(3) In the event of cancellation imb24 refunds amounts already paid promptly and in full or – at the customer's choice – offers an alternative date. Further claims, such as reimbursement of travel or hotel costs, exist only in accordance with § 10.
§ 7 Online trainings
(1) Access data for online trainings is personal and must not be passed on to third parties.
(2) Audio and video recordings by participants are only permitted with the prior consent of imb24 and all persons present. imb24 only records trainings if this is provided for in the course description and all participants have consented.
§ 8 Certificates of attendance
(1) Participants who fully attended the training receive a certificate of attendance as PDF with course content, duration and a serial number.
(2) For courses marked accordingly, the certificate documents the AI literacy conveyed within the meaning of Article 4 of Regulation (EU) 2024/1689 (AI Act). It proves participation; responsibility for a sufficient overall level of AI literacy within the company remains with the customer.
§ 9 Training materials and rights of use
(1) Training materials, templates, prompt collections and code examples are protected by copyright. The customer and the participants receive a simple, non-transferable, unlimited right to use the materials for the customer's internal purposes and to reproduce them internally.
(2) Passing them on to third parties, publishing them, using them for own training offers or using them to train AI models is not permitted without the prior consent of imb24 in text form.
(3) Code created jointly in a workshop in the customer's repository belongs to the customer without restriction.
§ 10 Liability
(1) imb24 is liable without limitation for intent and gross negligence, for injury to life, body or health, where a guarantee has been given and under the German Product Liability Act.
(2) In the event of a slightly negligent breach of an essential contractual obligation, the fulfilment of which makes the proper performance of the contract possible in the first place and on whose compliance the customer may regularly rely, liability is limited to the typical, foreseeable damage. Otherwise, liability for slight negligence is excluded.
(3) The trainings convey general knowledge and practical methods. For decisions the customer makes on this basis and for results of AI tools used by the customer, imb24 is liable only in accordance with paragraphs 1 and 2.
§ 11 Data protection
imb24 processes personal data in accordance with the privacy policy on imb24.com. The customer informs the participants it names about the transfer of their data to imb24 and about this privacy policy.
§ 12 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) The exclusive place of jurisdiction for all disputes arising from this contract is Osnabrück, Germany, if the customer is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany.
(3) Amendments and supplements to the contract require text form. Individual agreements take precedence (Section 305b BGB).
(4) Should any provision of these GTC be invalid, the remainder of the contract remains valid. The statutory provision replaces the invalid provision.
(5) The German version of these GTC is legally binding.
